These Terms of Service ("Terms") govern your use of the kenjudy.us website and your engagement of consulting and coaching services provided by Ken Judy LLC ("I," "me," or "my"). By using this website or engaging my services, you agree to these Terms.

Services Offered

I provide AI adoption consulting and leadership coaching services to organizations and individuals. Services are described on the Services page and are customized based on each client's specific needs.

All services are quoted and delivered in US Dollars (USD).

Engagement Process

1. Initial Consultation: Engagements typically begin with an initial consultation to understand your needs and determine fit.
2. Proposal and Agreement: For consulting engagements, I provide a written proposal or statement of work outlining scope, deliverables, timeline, and fees. Work begins upon your written acceptance and any required deposit.
3. Coaching Arrangements: Coaching engagements are typically structured as recurring sessions with terms agreed upon in advance.

Fees and Payment

• Payment Terms: Unless otherwise agreed in writing, invoices are due within 30 days of receipt. For new engagements, a deposit may be required before work begins.
• Payment Methods: I accept payment via bank transfer, Wise, and major credit cards. Payment processing is handled through secure third-party providers.
• Late Payment: Invoices unpaid after 30 days may be subject to a late fee of 1.5% per month or the maximum rate permitted by law, whichever is less.
• Expenses: Pre-approved travel and out-of-pocket expenses related to your engagement are billed at cost.

Cancellation and Refund Policy

Consulting Engagements

• Cancellation by Client: You may cancel or reschedule a consulting engagement with at least 48 hours' notice at no charge. Cancellations with less than 48 hours' notice may be subject to a fee equal to one day's consulting rate.
• Project Termination: Either party may terminate an ongoing consulting engagement with 14 days' written notice. You are responsible for payment for all work completed through the termination date, plus any non-cancellable expenses incurred.
• Refunds: Unused portions of prepaid retainers will be refunded within 30 days of termination, less fees for work already performed.

Coaching Sessions

• Rescheduling: Coaching sessions may be rescheduled with at least 24 hours' notice at no charge.
• Late Cancellations: Sessions cancelled with less than 24 hours' notice are non-refundable and count as a completed session.
• Coaching Packages: Unused sessions in prepaid coaching packages may be refunded on a pro-rata basis if you choose to discontinue, minus a 15% administrative fee.

Intellectual Property

• My Materials: All frameworks, methodologies, templates, and materials I provide remain my intellectual property unless explicitly transferred in writing. You receive a license to use these materials for your internal business purposes.
• Your Materials: You retain ownership of your proprietary information, code, and materials shared during our engagement.
• Work Product: Unless otherwise agreed in writing, deliverables created specifically for your engagement become your property upon full payment.

Confidentiality

I treat all client information as confidential. I will not disclose your proprietary information to third parties without your consent, except as required by law. This obligation survives the termination of our engagement.

Limitation of Liability

My services consist of professional advice and coaching. Implementation decisions remain yours, and I cannot guarantee specific business outcomes.

To the maximum extent permitted by law, my total liability for any claims arising from our engagement is limited to the fees you paid for the specific services giving rise to the claim. I am not liable for indirect, incidental, consequential, or punitive damages.
